These Terms & Conditions (“Terms”) govern your access to and use of the UGM.ae website (the “Site”) operated by Used German Machines FZE (“Company”, “we”, “us” or “our”), as well as any services and sales offered through the Site. By accessing or using our Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Site.

We are a company registered in the United Arab Emirates, and we operate in compliance with all relevant UAE laws and regulations, including Federal Law No. 15 of 2020 on Consumer Protection and the UAE’s e-commerce regulations (Consumer protection law | The Official Portal of the UAE Government). These Terms seek to uphold your rights and clarify our mutual obligations. Please read them carefully.

1. Scope of Services

Used German Machines FZE provides an online platform to showcase and sell used industrial machinery and related equipment, particularly for the food and beverage industry (e.g. used Tetra Pak® filling lines, bottling equipment, etc.), as well as to offer services such as machinery relocation, refurbishment, and consultancy. The Site contains information about our products and services, including detailed listings of available machines, specifications, pricing or request-for-quote options, blog articles, and contact information for our sales team.

Any services we provide (such as support with purchasing, delivery, installation, or after-sales service) and any content on the Site are provided under the conditions of these Terms. The scope of our services may evolve over time; we reserve the right to add, modify, or discontinue any feature of the Site or the services offered, at our discretion, in accordance with these Terms and applicable law.

Please note that product listings on the Site (including descriptions, images, and prices) are invitations to treat and not legally binding offers. While we strive for accuracy in all information, listings are subject to confirmation and availability. A contract for the sale of goods or provision of services is only formed as described in the “Purchases and Orders” section of these Terms (generally upon our confirmation of your order or signing of a written agreement).

2. Acceptance of Terms and User Account

By using our Site, you confirm that you are at least 18 years old or the legal age of majority in your jurisdiction, and that you are legally capable of entering into binding contracts. If you are using the Site on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” refers to the entity.

You do not need to create a user account to browse the Site. Certain features (such as simply viewing machines or reading content) are accessible without registration. However, to engage in certain activities – for example, making an inquiry, placing an order, or subscribing to a newsletter – you may need to provide personal information. You agree to provide accurate, current, and complete information as required for those activities (e.g., providing correct contact and shipping details when placing an order). Our handling of your personal information is governed by our Privacy Policy (above).

We reserve the right to refuse service, terminate accounts, or cancel orders at our reasonable discretion if we believe a user has violated these Terms or engaged in fraudulent or unlawful activity. We will not do so arbitrarily or without legitimate reason.

3. User Responsibilities and Acceptable Use

When using our Site, you agree to conduct yourself in a lawful and respectful manner. You are responsible for your use of the Site and for any actions taken through your use of the Site. In particular, you agree to the following:

• Compliance with Laws: You will use the Site only for legitimate purposes and in compliance with all applicable laws and regulations. This includes UAE laws and regulations governing online conduct, intellectual property, export controls, and the purchase of goods. You agree not to use the Site to engage in any unlawful, fraudulent, or harmful activity.
• Accurate Information: If you provide information to us (such as when making an inquiry or order), you agree to provide truthful, accurate, and up-to-date information. You will not impersonate any person or entity or misrepresent your affiliation or the purpose of your inquiry. Misleading information may lead to delays or refusal of service.
• Prohibited Activities: You must not misuse our Site or interfere with its normal operation. In particular, you agree not to:
  • Attempt to gain unauthorized access to any portion of the Site, server, or any other systems or networks connected to the Site, through hacking, password mining, or any other illegitimate means. Any attempt to access data not intended for you, or to penetrate the Site’s security measures, is strictly prohibited (Terms And Conditions) (Terms And Conditions).
  • Probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures of the Site (Terms And Conditions). All such actions are unauthorized and may result in legal action.
  • Interfere with or disrupt the access of any other user, host, or network (for example, by sending a virus, overloading, “flooding,” spamming, or mail-bombing the Site) (Terms And Conditions). You agree not to transmit any worms, viruses, or any code of a destructive nature.
  • Use any automated means (such as robots, scrapers, or spiders) to access or collect data from the Site without our express permission. (Standard search engine indexing for the sole purpose of providing search results is allowed, provided it does not harm our site’s functionality.)
  • Use the Site to publish, send, or facilitate the sending of unsolicited communications or advertisements (“spam”). You will not use any communication tools provided by the Site (such as a contact form) to send bulk, unsolicited emails or to advertise any products or services not authorized by us (Terms And Conditions).
  • Engage in any behavior that could disable, damage, or impair the Site (or the networks and systems connected to the Site), or that interferes with any other party’s use of the Site.
• No Abuse or Illegal Content: You will not use the Site to post or transmit any material that is defamatory, harassing, threatening, obscene, indecent, pornographic, or otherwise objectionable. You also agree not to upload or distribute any content that infringes any third-party rights (including intellectual property rights and privacy rights) or that violates any law.
• Intellectual Property Respect: You must not copy, reproduce, modify, or distribute any part of the Site’s content (including texts, images, logos, videos, and software code) except as permitted by these Terms (see “Intellectual Property” section) or with our explicit written consent. Similarly, you may not reverse-engineer or attempt to extract the source code of any software component of the Site, unless expressly permitted by law.
• User-Generated Content: If the Site allows you to submit content (for example, posting a comment on a blog or a product review), you are solely responsible for what you submit. Any such content must comply with the standards above (no illegal, infringing, or abusive content). We reserve the right to remove or edit user-generated content at our discretion if it violates these Terms or is otherwise objectionable. We do not endorse any user content and are not liable for it, but we may monitor and moderate submissions.

Consequences of Violation: Any violation of the above rules may result in immediate termination of your right to use the Site and may also expose you to civil or criminal liability under applicable law (Terms And Conditions). Unauthorized attempts to interfere with the Site or its security may be illegal and will be reported to law enforcement authorities when appropriate. We reserve the right to seek damages and remedies to the fullest extent permitted by law for any misuse of our Site.

4. Intellectual Property and Allowed Use of Content

All content and materials available on the Site, including (but not limited to) text, graphics, logos, images, product listings, videos, software, design, icons, and the arrangement of these elements, are the intellectual property of Used German Machines FZE or its content suppliers and are protected by copyright, trademark, and other intellectual property laws.

• Copyright: The compilation of all content on this Site is our exclusive property. Individual content items (such as images or articles) may either be our property or licensed to us by third parties. We retain all rights, title, and interest in and to the Site and its content.
• Trademarks: “Used German Machines”, “UGM”, our logos, and any other product or service names or slogans displayed on the Site are trademarks or service marks of Used German Machines FZE (or of our affiliates/suppliers, if noted). You are not permitted to use these trademarks without our prior written consent. All other trademarks on the Site are the property of their respective owners and are used for identification purposes only (for example, references to Tetra Pak® are trademarks of Tetra Pak International – we acknowledge their marks).
• License for Site Use: We grant you a limited, revocable, non-exclusive, non-transferable license to access and make personal or internal business use of our Site and its content. This license is for the sole purpose of viewing our products/services, making informed decisions, and interacting with us for potential purchase of goods or services. Under this license, you may view, download, and print pages from the Site for your legitimate personal or business use (such as considering a purchase or keeping a copy of a product description for reference). However, you may not:
  • Modify or copy the Site’s content (except caching for personal use or as necessary to view content).
  • Use any content (text or images) for commercial purposes unrelated to purchasing from us, without obtaining a license from us. For instance, you cannot take our machine listings or images and publish them on your own site or catalogue without permission.
  • Reproduce, duplicate, or exploit the Site or its content for any commercial purpose other than for conducting business with Used German Machines FZE. This means you cannot sell, resell, or make derivative works from our content.
  • Frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout) of our Site without express written consent.
  • Use any meta tags or any other “hidden text” utilizing our company name or trademarks without our express consent.
• Third-Party Content: Some content on our Site might be owned by third parties (for example, certain images, or brochures provided by equipment manufacturers, etc.). Such content is used by us either under license or under fair use principles. Your use of third-party content may be subject to additional terms from those third parties. Where we have indicated any third-party ownership, you should obtain permission from the respective owner before using that content in any way not permitted by law.

Any unauthorized use of the Site or its content terminates the permission or license granted by us under these Terms. If you wish to request permission to use any content beyond what is permitted by these Terms (for example, to reproduce a photo in a publication), please contact us at sales@ugm.ae with your request.

5. Purchases and Orders

If you wish to purchase a product (such as a used machine or spare part) or order a service via our Site or through our sales team, the following terms apply:

• Product Listings and Accuracy: We strive to ensure that all product descriptions, specifications, images, and pricing displayed on our Site are accurate and up-to-date. However, all listings are subject to availability. Used machinery inventory can change frequently. We cannot guarantee that an item shown on the Site will remain available. We also note that for used equipment, the condition and specifics of each machine are described to the best of our knowledge. Minor discrepancies or reasonable wear and tear should be anticipated given the nature of pre-owned machinery. We encourage prospective buyers to contact us for detailed information, inspection reports, or to arrange a viewing when possible. Any weights, dimensions, capacities, or performance figures are provided by the original manufacturer or estimated, and you should confirm critical details with us during the inquiry process.
• Invitation to Treat: Information on the Site is not an outright offer to sell; it is an invitation for you to make an offer to purchase. When you submit an inquiry or an order for a product, this constitutes an offer by you to buy that product under these Terms. We reserve the right to accept or decline your offer.
• Order Process: Depending on the product, an order may be placed by adding the item to a cart and completing an online checkout, or more commonly, by contacting our sales team (via the contact form, email, or phone) to discuss the item and receive a quotation/invoice. The general steps of an order process are:
  1. Inquiry/Quote: You express interest in a product by submitting a form or contacting us. We will provide you with a quotation or pro-forma invoice detailing the item, price, delivery terms, etc.
  2. Order Confirmation: If you decide to proceed, you will confirm the order (for instance, by signing the quote or sending an official purchase order, or completing online checkout if available). At this point, you are committing to buy under the terms provided.
  3. Acceptance: The contract of sale is concluded when we expressly accept your order. This acceptance can be by sending you a written Order Confirmation email/letter, or by countersigning a contract, or by processing your payment and beginning fulfillment of the order. Mere submission of an order or payment does not imply acceptance; we must verify availability and other details first. If for some reason we cannot accept your order (e.g., the item was sold to someone else concurrently, or a pricing error is discovered), we will inform you and refund any payment made.
  4. Payment: Terms of payment will be as specified in the quote or invoice. We may require full payment upfront for smaller purchases or a deposit (e.g., 50%) for large machinery with the balance due before delivery. Acceptable payment methods typically include bank wire transfer, and possibly credit card or other methods if indicated. All prices are usually in the currency stated (e.g., USD or AED) and exclusive of any taxes, duties, or shipping costs, unless stated otherwise. You are responsible for any bank fees or international transfer charges. We will provide receipts for all payments.
  5. Cancellation: If you wish to cancel an order after it is confirmed, please contact us immediately. Cancellation may be possible only before the item has been shipped or the service has commenced. For customized services or reserved machinery, a cancellation may not be allowed without a fee, as we might have incurred costs. We will inform you of any applicable cancellation charges at the time of your request. We reserve the right to cancel your order (with a full refund of any payment) if events outside our control prevent fulfillment (such as export restrictions, the item becoming unavailable due to prior sale, etc.), or if we suspect fraudulent or illegal activity.
• Pricing: The price of products will be as indicated in our quotation or on the Site (if a price is listed). We take care to ensure pricing is correct; however, if a pricing error is found, we will inform you as soon as possible and give you the option to reconfirm the order at the correct price or cancel for a full refund. All prices are typically excluding VAT (Value Added Tax) unless stated. If UAE VAT or any applicable sales tax is required, it will be added at the prevailing rate. For international orders, you are responsible for any import duties, tariffs, or local taxes that may apply upon importing the equipment into your country. We can assist in providing necessary documentation for customs.
• Delivery and Title: We will arrange delivery or pickup as per the agreement. Delivery terms (Incoterms) will be specified — for example, EXW (Ex Works), FOB (Free On Board), CIF (Cost Insurance Freight), etc., depending on what we agree. The risk of loss or damage to goods usually passes to you according to the agreed Incoterm (for instance, under EXW, risk passes when the machine is made available at our warehouse; under CIF, risk passes upon delivery at the destination port, etc.). Title (ownership) of the product will pass to you only when we have received full payment for the product. We will work with reputable shipping and logistics partners and provide you with shipping updates and necessary documents (like a bill of lading, packing list, etc.). Delivery times provided are estimates; while we aim to meet them, there could be reasonable delays due to logistical issues or force majeure events. We are not liable for delays outside our control, but we will keep you informed and do our best to remedy any issues.
• Inspection and Acceptance of Goods: Upon receiving the machine or goods, it is your responsibility to inspect them. Any issues (damage in transit, missing parts, or not as described) should be reported to us promptly, ideally within 5 working days of delivery. If you fail to notify us of any defect or discrepancy within a reasonable time, the goods will be deemed accepted as delivered. For used machines, you acknowledge that they are sold in the condition as inspected or as described in our agreement. We strongly encourage inspection or testing prior to shipment whenever feasible. We are transparent about the condition and will provide all available information, but used machinery may have inherent signs of use. Minor deviations or cosmetic wear that do not affect functionality shall not be considered defects.
• Returns and Refunds: Our policy regarding returns or refunds will depend on the circumstances and the terms of the sale. Generally, due to the nature of used industrial equipment (often large and custom-installed), sales are final once the machine has been delivered and accepted. However, if a machine is found to be significantly not as described or non-functional beyond what was disclosed, we will work with you to make it right, which may include providing missing parts, technical support, or in some cases, arranging a return or replacement if mutually agreed. Any return would require the item to be in the same condition as delivered. We also abide by any mandatory consumer protections that apply. For example, if you are a consumer (buying as an individual rather than a business) and UAE consumer law grants you certain return or cancellation rights, we will honor those rights. Please refer to any separate Refund & Returns Policy document on our Site for more details.
• Warranty on Products: Used machines are typically sold on an “as is” basis unless otherwise specified. This means they may not carry a standard manufacturer’s warranty. However, in some cases, we might offer a limited warranty or guarantee for a specific period, or the manufacturer’s service might still be available. If a warranty is provided, it will be explicitly stated in the sales agreement or warranty certificate provided with the machine. We will also provide any warranty-related documentation as required by UAE law, as the law may require certain warranty disclosures or documents to consumers ( Dentons – A new era of consumer protection in the UAE ). For example, a separate warranty document might outline what is covered (parts, labor) and the duration. If no express warranty is provided, then to the maximum extent permitted by law, the product is sold without any implied warranties. Nonetheless, we ensure that products are generally as described and fit for the basic purposes for which such used equipment is normally used, at least at the time of sale. We will not knowingly sell equipment that is completely non-functional unless it is clearly advertised for spare parts or refurbishment.

6. After-Sale Services and Support

We aim to support our customers even after a sale is completed, especially given the technical nature of industrial machinery:

• Installation and Training: If agreed in the contract, we may assist with installation or commissioning of the machinery at the customer’s site, or provide training to your operators. Such services, if included, will be detailed in the order (including any additional fees, or included as part of a package). If not included, we might still offer these services for an additional charge.
• Technical Support: You can contact us for technical questions or issues with any machine purchased from us. We will endeavor to help troubleshoot over the phone or email. If on-site support is required and not under warranty, we can dispatch technicians at standard service rates.
• Spare Parts: We also supply spare parts for many machines. If you need replacement parts, please reach out to us. Availability of parts for older machines can vary, but we maintain a network to source components.
• Maintenance Services: We offer maintenance and refurbishment services in our facilities. If you wish to have a machine overhauled or upgraded, we can discuss a service agreement.
• Warranty Claims: If a product you bought from us included a warranty and you experience an issue within the warranty period, notify us as soon as possible with details of the problem. We will verify the claim and, if valid, perform repairs or provide replacements in line with the warranty terms (e.g., sending replacement parts, or repairing the unit at our workshop, etc.). Please note that the warranty might not cover issues caused by misuse, improper installation by third parties (if not done by us), lack of proper maintenance, or normal wear and consumables. We comply with the guidelines provided in UAE law for handling warranty claims, ensuring that any necessary repair is done within a reasonable time and that the warranty period is extended by any period the machine was out of operation due to repairs ( Dentons – A new era of consumer protection in the UAE ).

7. Disclaimer of Warranties

Use of the Website: The Site and all information, content, and materials included on or otherwise made available to you through the Site are provided on an “as is” and “as available” basis. To the fullest extent permissible under applicable law, we disclaim all express or implied warranties, representations, and conditions relating to the Site and its content, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or availability.

While we endeavor to keep the Site up-to-date and accurate, we do not warrant that the content is error-free or reliable. For example, we do not guarantee that product descriptions or other content are entirely accurate, complete, or current in all cases (though we strive to correct any errors promptly once identified). We also do not warrant that the operation of the Site will be uninterrupted, secure or free from errors, viruses, or other harmful components. You use the Site at your own risk. It is your responsibility to have appropriate IT security protections (such as antivirus software) when accessing the Site.

Product Warranties: Regarding products or services sold, except as expressly provided in a written warranty or contract, Used German Machines FZE makes no further warranties. If an express warranty is provided for a particular product, that will be the only warranty applicable. For all other sales, to the extent allowed by law, we sell used products as is. This disclaimer of warranties, however, is subject to applicable consumer protection laws – meaning we do not disclaim any warranty or condition that cannot be excluded by law. In the UAE, consumers have the right to expect a standard level of quality and service (Consumer protection law | The Official Portal of the UAE Government), and nothing in these Terms will reduce your rights under such laws. If you are dealing as a consumer, you may have statutory rights (for example, to receive goods that conform to their description and are of satisfactory quality). Any such rights are not affected by this disclaimer.

Third-Party Information: The Site may include information provided by third parties (for example, specifications provided by manufacturers, or comments from other users). We do not create all such content and cannot guarantee its accuracy. Any third-party links or references are provided for convenience; we are not responsible for the content or accuracy of any third-party websites linked from our Site, and visiting those is at your own discretion.

No Guarantee of Results: Any testimonies or examples on the Site, such as case studies of how our machines improved a client’s production, are for illustrative purposes. They do not guarantee that you will achieve the same results, as actual performance can vary based on many factors (installation, maintenance, usage, etc.).

8. Limitation of Liability

To the maximum extent permitted by UAE law, Used German Machines FZE (and its officers, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential or punitive damages that result from your use of (or inability to use) the Site or from the purchase or use of any products or services obtained through the Site. This includes, for example, damages for lost profits or revenues, loss of business opportunity, loss of data, or equipment downtime. We are also not liable for any loss arising from the transmission of viruses or other malicious code that might infect your equipment, or from the actions of malicious third parties (such as hacking or cyber-attacks), despite our reasonable security measures.

Our total aggregate liability to you for all claims arising from or related to the use of the Site or products/services purchased via the Site shall not exceed the amount actually paid by you to us for the specific product or service that is the subject of the claim. For example, if your claim arises from a particular machine purchase, our liability is capped at the price you paid for that machine. If the claim is related to use of the free portions of our Site where you have paid us nothing, then our liability will be zero or the minimum the law mandates.

Exceptions: Nothing in these Terms is intended to exclude or limit our liability in ways that are not permitted by law. In particular:

• We do not exclude or limit liability for death or personal injury caused by our negligence or willful misconduct.
• We do not exclude liability for our own fraud or fraudulent misrepresentation.
• We do not limit any consumer rights or remedies that cannot be limited by law. Under UAE Consumer Protection Law, any contract term that would cause harm by stripping away a consumer’s right to compensation for damages is prohibited ( Dentons – A new era of consumer protection in the UAE ). This means if you are a consumer and suffer loss due to a defective product or our failure to meet our obligations, you remain entitled to the remedies provided by law (Consumer protection law | The Official Portal of the UAE Government), regardless of anything in these Terms. For instance, you may have the right to repair, replacement, or compensation under certain conditions, and we honor those rights.

Product Liability: You acknowledge that used industrial machinery must be installed and used properly and safely. We are not liable for any damages or injuries resulting from misuse, improper installation (if not done by us), alteration, or operation of equipment in an unsafe manner by you or third parties. We supply necessary manuals and safety information when available, and it is your responsibility to ensure compliance with all operating guidelines and safety standards when using the machinery. If we perform installation or training, we will do so with due care. However, once control of the equipment is handed over to you, you assume responsibility for operating it safely.

Third-Party Claims: We shall not be liable for any claims or demands made against you by any third party arising out of your use of the Site or products, except as required by law. For example, if a third party brings a claim against you because of something you did using our Site, that is your responsibility. Conversely, if a third party claim is due to our fault (like IP infringement by content we provided), then we will handle it as per our obligations.

Force Majeure: We are not responsible for any failure or delay in our performance (such as a delay in shipping a product or a downtime of the Site) caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, acts of terrorism, government actions, labor disputes, power failures, internet or telecommunications outages, or epidemics. If such events occur, we will make reasonable efforts to mitigate the impact and resume our obligations as soon as feasible.

By agreeing to these Terms, you acknowledge the limitations of liability and warranties as set forth above, as part of the bargain between you and us.

9. Indemnification

(Note: Indemnification means you agree to compensate us for certain losses.)

You agree to indemnify and hold harmless Used German Machines FZE and its affiliates, officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or in connection with: (a) your breach of these Terms or any law or regulation; (b) your misuse of the Site or services; (c) any claim that your content or actions (for example, any user-submitted content or unauthorized dealings) violate any third-party rights or applicable law; or (d) any transaction or dispute between you and a third party (such as your customers or clients) where such dispute is caused by your use of a product purchased from us in a manner not intended or contrary to instructions.

We will promptly notify you of any such claim and provide you (at your expense) with reasonable cooperation in the defense. You may not settle any claim in a manner that imposes any obligation or liability on us without our prior written consent. This indemnification obligation will survive termination of your use of the Site or any services.

10. Dispute Resolution and Governing Law

Governing Law: These Terms & Conditions, and any separate contracts for goods or services that arise from your use of the Site (unless otherwise specified in such contract), are governed by and construed in accordance with the laws of the United Arab Emirates. As an entity operating in Sharjah’s Hamriyah Free Zone, we are subject to UAE federal laws and the local laws of the Emirate of Sharjah to the extent they apply. However, UAE federal law (including the UAE Civil Code, Commercial Transactions Law, Consumer Protection Law, e-commerce regulations, and other relevant statutes) will form the core governing law for these Terms.

Jurisdiction: In the event of any dispute, claim, or controversy arising out of or in connection with these Terms, the use of the Site, or any purchase or service from us, that cannot be resolved amicably, such dispute shall be submitted to the exclusive jurisdiction of the courts of the United Arab Emirates. Specifically, unless otherwise agreed, the courts of the Emirate of Sharjah, UAE will be the primary venue for resolving disputes. You agree that you are subject to the jurisdiction of these courts for any such disputes. If you are a consumer residing outside the UAE, you may also have the right to pursue claims in your country of residence under its laws if those laws provide you such right; however, by agreeing to these Terms, you do not waive any of your mandatory protections, and we do not seek to deprive you of the protections of your local law where it applies.

Before resorting to formal litigation, we strongly encourage you to contact us to discuss any issues. We believe most complaints or disagreements can be resolved through good faith negotiations. In line with UAE consumer protection guidance, we aim to settle consumer disputes promptly and fairly (Consumer protection law | The Official Portal of the UAE Government). Therefore, if you have a concern or dispute, please reach out to our customer service or management. We will attempt to resolve the matter amicably, possibly through a meeting or mediation if both parties agree.

Arbitration (if applicable): (At present, we have not specified mandatory arbitration. If we and you mutually agree to consider arbitration for a particular dispute, it would be documented separately. Otherwise, disputes will go through the courts as stated above.)

Limitation Period: Any cause of action you might have relating to the Site or these Terms generally must be brought within one (1) year from when the cause of action arose, otherwise it may be deemed waived by the passage of time (this does not apply to consumers in jurisdictions that prohibit such a limitation).

11. Miscellaneous Provisions

• Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect. The invalid part will, if possible, be amended to achieve as closely as possible the intended effect of the original provision, or, if not possible, it will be deemed severable from these Terms.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Used German Machines FZE.
• Assignment: You may not assign or transfer any of your rights or obligations under these Terms to any third party without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law, and we will notify you if such a transfer occurs.
• Entire Agreement: These Terms (along with any additional terms we provide when you engage in certain activities, such as promotional terms or specific contract terms for a purchase) constitute the entire agreement between you and Used German Machines FZE regarding your use of the Site and our services. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us regarding the Site. However, in the event you enter into a separate signed agreement with us (for example, a detailed Sales Contract for a machine or a Service Agreement), and there is a conflict between that agreement and these Terms, the signed agreement will prevail for the specific subject matter of that agreement.
• Language: These Terms are provided in English. The Site may offer translations (for example, an Arabic version of these Terms) to comply with UAE laws requiring consumer contracts to be in Arabic as well (Consumer protection law | The Official Portal of the UAE Government). In case of any discrepancy between the English version and the Arabic version (or any other language version), the English version shall prevail (except where prohibited by law).
